Our understanding and our aim is to also offer our clients comprehensive advice beyond the mentioned special fields, namely with regard to their day-to-day business and in other commercial law questions. Thus we also deal with general civil law questions, eg. on the field of the sale of goods and contracts for work and services as well as on the field of securities, tenancy and labour and employment law. The focus of our general commercial law practice is on the law of distribution and commercial agency as well as on competition and trademark law.

 

We advise our clients with regard to the foundation of new and the restructuring of existing businesses as well as to the acquisition and the sale of companies and the organization of corporate succession. In technical terms this advisory area ranges from the general company law to the reorganisation of companies and the area of „mergers & acquisitions“ as well as to employment law, insolvency, laws of succession and family law.

 

Our advisory activity includes statements to all kinds of questions, the solution of problems, the drafting of contracts, the development of negotiation strategies and the active taking part in negotiations either as legal representatives for or together with our clients. We also represent our clients with regard to cross-border and international transactions and formations of contracts. Furthermore, partners of our law firm are members of supervisory committees of various companies.

 

In addition to this, we also represent our clients’ interests in court proceedings. We pursue lawsuits for our clients in front of all work tribunals and civil law courts on the federal territory as well as in front of arbitrations tribunals inland and/or abroad.

 

As members of the International Bar Association and due to a partly long- term cooperation with lawyers abroad, we are part of a network which enables us and our clients to seek competent legal advice as well in as with relation to a foreign country. When it comes to transactions or arrangements revealing a foreign dimension, we are able to support our clients abroad and directly on-site. In this respect we are also able to offer flexible and praxis-orientated solutions at short-notice.

 

Our advisory activity does - not always but mainly – take place in a commercial and/ or fiscal context. In this respect our cooperation with the tax advisors and accountants Dr. von der Hardt & Partner/ Münster has developed suc-cessfully and proved to be of value. Due to this cooperation we are, at any time, able to resort to special knowledge and skills when it comes to cases involving economic, balance-related and/ or fiscal problems. Especially with regard to the valuation of companies, due-diligence audits, transformations and restructurings we can always call upon competent professionals.
